Vendor / Institute Terms

These Vendor / Institute Terms apply to organisations that operate an InstiCloud or InstiSignal workspace under E Acad Sutra. They supplement the Terms of Service and Privacy Policy.

1. Acceptance

By activating a vendor/institute workspace, connecting WhatsApp Business, inviting team members, or using paid features, you accept these Terms on behalf of your organisation.

2. Services

  • InstiCloud: Coaching ERP, Student ERP, Faculty ERP, attendance, fees, website builder, CRM, WhatsApp automation, AI Teacher, AI Assistant, test platform, online classes, analytics, marketplace, and mobile apps.
  • InstiSignal: Official WhatsApp Business automation via Meta Cloud API — Embedded Signup, templates, broadcasts, automation, AI replies, CRM, lead collection, team inbox, and analytics.

3. Institute Responsibilities

  • Designate administrators responsible for security and compliance.
  • Control staff access and revoke permissions when roles change.
  • Ensure lawful processing of student, parent, faculty, and lead data.
  • Supervise educational content, fee communications, and counselling workflows.

4. WhatsApp Business & Meta Compliance

Meta Platforms is an independent service provider. The WhatsApp Business API is governed by Meta. Your organisation must comply with:

  • Meta Messaging Policy
  • Meta Commerce Policy
  • Meta Business Terms

You are responsible for: Meta verification, template content, opt-in consent, spam prevention, opt-out handling, and the content of all automated or human replies.

E Acad Sutra does not control Meta approvals, quality ratings, delivery success, or account restrictions imposed by Meta.

5. Opt-in & Spam

Valid opt-in is required before proactive messaging. Bulk unsolicited messaging is prohibited and may result in immediate suspension of messaging features.

6. AI & Educational Decisions

AI features may be inaccurate. Institutes remain responsible for educational decisions, counselling guidance, and customer commitments made through the platform.

7. Subscriptions, Billing, Cancellation & Refunds

Plans may be monthly, annual, or custom. Renewals, cancellation, and refunds follow the Terms of Service and Refund Policy. Non-payment may suspend workspace or messaging access.

8. Data Ownership & Processing

Your organisation owns its educational and CRM business data. E Acad Sutra hosts and processes that data to provide the services. Processor obligations are described in the Data Processing Agreement.

9. Availability

Service availability targets and exclusions (including Meta/hosting dependencies) are described in the SLA.

10. Limitation of Liability & Indemnity

Liability limits and indemnification obligations in the Terms of Service apply to vendor/institute use, including claims arising from Meta policy violations, spam, or student/parent data mishandling by your organisation.

11. Termination

We may suspend or terminate for non-payment, policy abuse, legal risk, or Meta compliance emergencies. Export needed data promptly using available tools or by contacting support.

12. Governing Law

These Terms are governed by the laws of India, with exclusive jurisdiction in the courts of Maharashtra, India.
