Terms of Service

1. Acceptance

These Terms of Service (“Terms”) govern use of InstiCloud (https://insti.cloud) and InstiSignal (https://signal.insti.cloud), operated by E Acad Sutra. By creating an account, clicking accept, or using the services, you agree to these Terms, the Privacy Policy, and, where you operate an institute workspace, the Vendor / Institute Terms.

2. Accounts

  • Provide accurate registration and billing information.
  • Keep credentials confidential and use strong passwords.
  • Limit access to authorised personnel.
  • Notify us promptly of suspected unauthorised access.
  • You are responsible for activity that occurs under your account.

3. Institute Responsibilities

If you use the services for an educational institute or business, you are responsible for:

  • Lawful collection and use of student, parent, faculty, lead, and customer data
  • Required consents, including parental/guardian consents where applicable
  • Accuracy of academic records, fee records, and outbound communications
  • Staff training, role assignment, and internal supervision of AI and automation
  • Compliance with education, consumer, telecom, and data-protection laws applicable to your operations

4. Acceptable Use

You must not use InstiCloud or InstiSignal to:

  • Send spam or bulk unsolicited messaging
  • Engage in illegal activity, fraud, or phishing
  • Violate copyright, trademark, or other IP rights
  • Distribute malware or attempt to breach security controls
  • Harass, threaten, exploit, or abuse any person
  • Misrepresent identity, institute affiliation, or opt-in status
  • Bypass Meta rate limits, bans, or policy enforcement

5. Subscriptions

Access is provided under monthly, annual, or custom commercial plans disclosed at purchase or in an order form. Feature availability depends on the active plan and product configuration (InstiCloud modules and/or InstiSignal messaging).

6. Billing

Fees, taxes, and payment methods are as shown at checkout or on your invoice. Payments may be processed through partners such as Razorpay. You authorise recurring charges for the selected plan unless cancelled according to these Terms.

7. Renewals

Subscriptions renew for successive periods of the same duration unless cancelled before renewal, or unless a written agreement states otherwise. Price changes will be communicated through the product, email, or billing notice where practical.

8. Cancellation

You may cancel renewal for future periods through available account controls or by contacting contact@insti.cloud. Cancellation stops future renewals; it does not automatically create a refund for the current period. See the Refund Policy.

9. Refunds

Unless a specific written offer or order form states otherwise, fees for a started billing period are non-refundable. Clear billing errors may be reviewed in good faith. Full details: Refund Policy.

10. Educational Content

Institutes own and control educational content they upload — including tests, notes, results, assignments, and counselling materials. We host and process that content to provide the services. You warrant that you have rights to upload and use such content and that it does not infringe third-party rights or applicable law.

11. WhatsApp Business

InstiSignal provides software integration with the official Meta WhatsApp Cloud API, including Embedded Signup, templates, broadcasts, automation, AI replies, CRM, lead collection, team inbox, and analytics. WhatsApp phone numbers, WABA status, template approval, and delivery are subject to Meta systems.

12. Meta Policies

Meta Platforms is an independent service provider. The WhatsApp Business API is governed by Meta, not by E Acad Sutra. Institutes / businesses must comply with:

  • Meta Messaging Policy
  • Meta Commerce Policy
  • Meta Business Terms
  • Any other Meta / WhatsApp rules applicable to your use case

13. Opt-in Requirement

You must obtain and retain valid opt-in consent before initiating WhatsApp conversations or broadcasts, except where Meta rules expressly allow a contact. You must honour opt-out / STOP requests promptly.

14. Spam Prohibition

Bulk unsolicited messaging, purchased contact lists without consent, deceptive templates, and message flooding are prohibited. We may suspend messaging or the workspace to protect platform integrity and Meta compliance.

15. AI Disclaimer

AI Teacher, AI Assistant, AI replies, and related features may produce inaccurate or unsuitable outputs. Institutes remain responsible for reviewing critical educational, counselling, fee, and customer communications before relying on them.

16. Availability

We aim for reliable service but do not guarantee uninterrupted or error-free operation. Availability may be affected by maintenance, hosting issues, Meta outages, internet failures, or force majeure. Target availability commitments, where stated, appear in the Service Level Agreement.

17. Limitation of Liability

To the maximum extent permitted by law, E Acad Sutra is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or message non-delivery caused by Meta or other third parties. Our aggregate liability for claims relating to the services is limited to fees you paid to us for the affected service in the three (3) months immediately before the claim arose.

18. Indemnity

You agree to indemnify and hold harmless E Acad Sutra from claims and expenses arising from your content and messages, your misuse of the services, your violation of these Terms, your violation of Meta / WhatsApp policies, or your handling of student, parent, faculty, or customer data.

19. Termination

You may stop using the services at any time. We may suspend or terminate access for non-payment, acceptable-use violations, legal risk, Meta-related compliance emergencies, or misuse. Upon termination, your right to access ends. Data handling follows the Privacy Policy and any export window we make available.

20. Intellectual Property

InstiCloud, InstiSignal, software, documentation, and branding remain the intellectual property of E Acad Sutra and its licensors. You receive a limited, non-exclusive, non-transferable right to use the services during an active subscription. You may not reverse engineer, resell, or white-label the platform without written authorisation.

21. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts in Maharashtra, India have exclusive jurisdiction, subject to any mandatory protections that cannot be waived by law.
